Why consider Haiyan for a foreign-invested company
Haiyan is a county under Jiaxing, a prefecture-level city in Zhejiang that forms part of the Yangtze River Delta economic zone. The area is known for manufacturing and industrial activity, including textiles, machinery, and new materials, and it hosts development zones that accommodate industrial and commercial projects. For foreign founders, a Haiyan registration can be a way to establish a presence in a lower-density county while remaining within reach of Jiaxing's urban services and the larger hubs of Shanghai and Hangzhou.
Transport links matter for any location decision. Haiyan is connected by road to Jiaxing and the wider region, and high-speed rail services from Jiaxing put Shanghai and Hangzhou within practical reach for meetings and supplier visits. The county's coastal position near Hangzhou Bay also places it in a broader industrial and logistics corridor.
Choosing Haiyan is not only about cost or space; it is about fit. If your business serves manufacturing supply chains, local industrial clients, or regional distribution, a county-level base may suit your operations. If your customers are concentrated in central Shanghai or Hangzhou, you may prefer a city-centre address. Use a site visit and discussions with local advisers to test whether Haiyan matches your commercial plan.

Entity options: WFOE, joint venture, or representative office
Foreign investors in China typically choose among a wholly foreign-owned enterprise (WFOE), a Sino-foreign joint venture (JV), and a representative office (RO). Each has different implications for control, capital, and permitted activities.
WFOE. A WFOE is a limited liability company owned entirely by foreign investors. It is the most common vehicle for foreign founders who want full control and the ability to conduct revenue-generating business within its approved scope. A WFOE requires registered capital, a registered address, and a business scope that fits the planned activities. It can hire staff, issue invoices, and remit profits subject to tax and foreign exchange rules.
Joint venture. A JV involves one or more Chinese partners. It can be useful where local knowledge, licences, or distribution channels are essential, or where a sector restricts foreign ownership. The trade-off is shared control and the need for careful governance, capital contribution, and exit provisions in the JV contract and articles.
Representative office. An RO is a non-profit-making liaison office. It cannot sign contracts or generate revenue on its own account and is subject to restrictions. It may suit market research or coordination, but not direct trading or manufacturing.
For most foreign founders planning active operations in Haiyan, a WFOE is the default starting point. Confirm sector-specific rules before deciding.

The registration process in five broad steps
Company registration in China follows a sequence that typically involves several authorities. The exact order and requirements can vary by district and business type, so treat this as an outline rather than a fixed checklist.
- Step 1: Name and scope preparation. Choose a company name that complies with local naming rules and define a business scope that accurately describes your planned activities. Some activities require pre-approval or special licences.
- Step 2: Registered address and incorporation filing. Secure a registered address in Haiyan that meets local requirements. Submit the incorporation application, including articles of association, investor documents, and legal representative details, to the local market regulation authority.
- Step 3: Licences and approvals. If your business scope includes regulated activities, obtain the necessary sector approvals before or alongside registration. Not every business needs a special licence.
- Step 4: Post-registration formalities. After the business licence is issued, arrange company seals, tax registration, and foreign exchange registration. These steps are needed before bank account opening and hiring.
- Step 5: Banking and operational setup. Open a corporate bank account, complete tax onboarding, and set up payroll and accounting. If you plan to reside in China, address visa and work permit requirements early.
Timelines depend on document readiness, authority workload, and whether special licences apply. Build contingency into your plan.

Documents foreign founders should prepare
Document requirements for a foreign-invested company in Haiyan generally follow national and local practice. Prepare clean, consistent paperwork to reduce back-and-forth with authorities and banks.
Investor documents. For a corporate investor, expect to provide the certificate of incorporation, articles, and a board resolution authorising the investment, often notarised and legalised or apostilled depending on the investor's jurisdiction. For an individual investor, a passport copy and proof of address are typically required. Chinese translations may be needed.
Company documents. These include the proposed company name, registered address proof (such as a lease), articles of association, business scope, registered capital details, and appointment documents for the legal representative, supervisor, and directors. The legal representative can be a foreigner but should understand the role's responsibilities.
Address and scope. The registered address must be a compliant commercial or industrial address in Haiyan. A virtual or residential address may not be accepted. The business scope should be drafted to cover actual activities without overreach; regulated items need separate approvals.
Bank and tax onboarding. Banks commonly request beneficial ownership information, source of funds, and business background. Tax authorities may ask for similar details. Keep originals and copies organised, and check whether documents need notarisation, legalisation, or apostille before submission.

Registered address and business scope considerations
The registered address is more than a formality. In Haiyan, as elsewhere in China, authorities expect the address to be a real, compliant location suitable for the registered business. For manufacturers or warehousing operations, an industrial site may be needed. For service or trading companies, a commercial office address is more typical. Some local development zones offer premises for industrial projects, but availability and terms vary.
When reviewing a lease, confirm that the landlord can support registration and that the property's use designation matches your intended activities. If you plan to operate from a different location than the registered address, check whether local rules permit this and what additional filing may be required.
Business scope drafting deserves attention. The scope should describe what the company will actually do in language the local authority accepts. Standard wording exists for many common activities, but regulated sectors such as food, medical devices, logistics, or education may require licences or specific approvals. Overly broad scope language can trigger questions; overly narrow language can limit invoicing and contracts.
If your plans may change, consider a scope that accommodates reasonable near-term expansion without claiming activities you cannot support. Review the scope with a local adviser who understands current Haiyan practice.

Banking, tax, and visa basics after registration
After the business licence is issued, the company must complete tax registration and foreign exchange formalities before it can operate smoothly. A corporate RMB bank account is needed for day-to-day payments, and a foreign currency account may be useful for cross-border transactions. Banks apply their own onboarding checks, including beneficial ownership and source-of-funds reviews, so expect a due diligence process.
On tax, a new company should confirm its taxpayer status and accounting requirements with a local accountant. China's tax system includes corporate income tax, value-added tax, and other levies depending on activity. Bookkeeping and filing obligations begin promptly; missing deadlines can create penalties. Many foreign founders engage a local accounting firm for monthly compliance.
For foreigners planning to live and work in Haiyan, visa and work permit arrangements should be started early. A work permit and residence permit are typically required for employment in China, and the process involves the employer and local authorities. Business visas are not a substitute for working. Family members may have separate dependent visa options. Rules can change, so verify current requirements with the local exit-entry administration and a qualified adviser before making relocation plans.

Common mistakes to avoid
Foreign founders often encounter avoidable delays. One frequent mistake is assuming that a company registration automatically permits all business activities. In reality, the business scope and any required licences define what the company may do. Check sector rules before signing contracts or importing goods.
Another pitfall is treating the registered address casually. Signing a lease that cannot support registration, or using an address that does not match the business type, can stall the application. Verify the property's documentation and the landlord's cooperation before committing.
Document consistency matters. Names, addresses, and shareholding details should match across investor documents, translations, and application forms. Notarisation, legalisation, or apostille requirements depend on the investor's home jurisdiction; confirm the current rule rather than relying on outdated advice.
Underestimating post-registration compliance is common. Tax filing, accounting, annual reporting, and foreign exchange declarations are ongoing obligations. A company that is registered but not maintained can fall into abnormal status.
Finally, avoid copying another company's business scope or articles without adaptation. Templates may not fit your activities or local requirements. Work with a local adviser to tailor documents and to confirm current procedures in Haiyan.
